By accessing our Website or engaging Borealix for a Programme, you confirm that you have read and agree to these Terms and Conditions. If you are engaging on behalf of an organisation, you confirm that you have authority to bind that organisation to this Agreement.

You must be at least 18 years of age to engage our services or use this Website in a transactional capacity.

3. Nature of Services

Borealix provides educational materials, workshop facilitation, and programme design consulting in the area of anti-bribery awareness. All content produced by Borealix is framed as general educational and informational material.

Nothing produced or communicated by Borealix constitutes legal advice, regulated compliance advisory, or a professional opinion under any applicable regulatory framework. Clients are responsible for ensuring that any materials are used appropriately and in conjunction with advice from their qualified legal or compliance advisors where relevant.

Programmes are available to organisations based in Malaysia. Enquiries from international organisations are considered on a case-by-case basis.

4. Engagement Process

All engagements are subject to a written scope agreement issued by Borealix and accepted by the Client. A Programme engagement is confirmed upon receipt of a signed scope agreement and the agreed deposit or full payment, as specified in the quotation.

Borealix reserves the right to decline any enquiry at its discretion.

5. Payment Terms

Prices are as published on the Website or as agreed in a formal written quotation. Prices are in Malaysian Ringgit (RM). Applicable service tax (SST) and any additional items (such as travel costs for on-site sessions outside Kuala Lumpur) will be stated in the quotation.

Payment terms are specified in each quotation. We accept bank transfer. Where a deposit is required, commencement of work is conditional on receipt of the deposit.

Cancellations and refunds: If a Client cancels a confirmed engagement, the following applies: cancellation more than 14 days before the start date — deposit retained; cancellation within 14 days — full invoice amount due. For the self-study module, once access has been provided, no refund is applicable.

6. Intellectual Property

All content produced by Borealix — including module content, handbooks, workshop materials, facilitator guides, and programme packs — remains the intellectual property of Borealix.

Clients are granted a non-exclusive, non-transferable licence to use the materials delivered under their engagement for internal awareness purposes within their organisation only. Materials may not be resold, shared with third parties, reproduced for commercial purposes, or adapted for external distribution without written consent from Borealix.

7. Confidentiality

Borealix will treat information shared by clients during scoping, workshop, or programme build engagements as confidential and will not disclose it to third parties except as required for delivery of the engagement or by law.

Clients agree to treat any non-public materials received from Borealix as confidential and not to share them externally without written agreement.

8. Disclaimers

All Borealix content is provided for general educational and informational purposes. It is not intended to constitute, and should not be relied upon as, legal advice or regulated professional advice of any kind.

Borealix makes no representation that its content will satisfy any specific regulatory requirement or that use of its materials will achieve any particular organisational outcome.

The Website and its content are provided on an "as available" basis without warranties of any kind, to the extent permitted by applicable law.

9. Limitation of Liability

To the maximum extent permitted by Malaysian law, Borealix's liability to any Client shall not exceed the total fees paid by that Client for the relevant Programme in the twelve months preceding the claim.

Borealix shall not be liable for any indirect, consequential, or special loss arising from the use of its materials or services, regardless of whether such loss was foreseeable.

10. Indemnification

You agree to indemnify and hold Borealix harmless from any claims, losses, or liabilities arising from your use of Borealix materials in a manner inconsistent with this Agreement, or from any misrepresentation made by you in the course of the engagement.

11. Termination

Either party may terminate an engagement by giving written notice if the other party materially breaches this Agreement and fails to remedy the breach within 14 days of written notice.

Borealix may terminate an engagement immediately if it determines that continuation would be contrary to applicable law or its own operational policies.

Upon termination, the Client's right to use any materials delivered is limited to materials fully paid for as at the date of termination.

12. Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of Malaysia. The parties agree to attempt to resolve any dispute through good faith negotiation before initiating formal proceedings.

Any dispute that cannot be resolved by negotiation within 30 days shall be submitted to the exclusive jurisdiction of the courts of Malaysia.

We may update these Terms from time to time. Updated terms are effective from the date shown at the top of this page. Continued use of the Website or our services following an update constitutes acceptance of the revised terms.
